Any specific project scope, deliverables, timeline, fees, milestones, support terms, and acceptance conditions shall be agreed separately in writing through a proposal, quotation, statement of work, email confirmation, invoice arrangement, or service agreement.

PBTS reserves the right to accept, decline, postpone, modify, or discontinue any inquiry, service request, or engagement where necessary for legal, technical, operational, commercial, or risk-management reasons.

5. No professional guarantee or guaranteed outcome

While PBTS aims to provide services with reasonable skill, care, and professional diligence, no representation, warranty, or guarantee is made that any service, recommendation, report, dashboard, analysis, data output, or technical implementation will achieve a particular business result, revenue increase, operational saving, or performance improvement unless expressly stated in a signed written agreement.

Any timelines, estimates, examples, projections, or performance expectations communicated before or during an engagement are indicative only unless expressly agreed as binding in writing.

6. Client responsibilities

Clients and users are responsible for providing complete, accurate, lawful, and timely information, materials, data, approvals, credentials, instructions, and feedback reasonably required for the performance of the requested work.

You are solely responsible for ensuring that any data, files, documents, credentials, or content supplied to PBTS have been lawfully obtained and may lawfully be shared, processed, used, or disclosed for the relevant project or service purpose.

Any delay, error, or deficiency resulting from incomplete instructions, inaccurate information, delayed approvals, restricted access, poor data quality, or failure to cooperate may affect timelines, deliverables, accuracy, support obligations, and project outcomes. PBTS shall not be responsible for losses caused by such client-side failures or omissions.

7. Portal, account, and secure workspace access

Where PBTS provides a client portal, protected dashboard, workspace, login-enabled area, file exchange environment, or project collaboration interface, access is granted on a limited, revocable, non-exclusive basis strictly for legitimate business use related to the relevant service engagement.

Users are responsible for maintaining the confidentiality of usernames, passwords, access codes, and any other authentication credentials. Any activity occurring through your account or credentials may be treated as authorized by you unless and until you notify PBTS of suspected compromise.

PBTS may monitor, log, restrict, suspend, or revoke portal access for security, audit, service administration, legal compliance, misuse prevention, or operational reasons without liability for any resulting interruption, delay, or inconvenience.

8. Fees, billing, and payment

Fees, billing arrangements, payment schedules, deposits, milestone payments, recurring charges, taxes, expenses, and other commercial terms shall be communicated separately in the applicable proposal, quotation, invoice, subscription arrangement, email confirmation, or service agreement.

Unless otherwise agreed in writing, PBTS reserves the right not to commence work, release deliverables, activate portal features, provide access credentials, or continue support until required payments or confirmations have been received.

Late payment may result in suspension of work, withholding of deliverables, revocation of access, rescheduling of timelines, interest or administrative charges where lawful, and the recovery of reasonable collection costs. All sums due for completed work, committed phases, approved milestones, licensed access, or incurred project costs shall remain payable notwithstanding suspension or termination.

9. Intellectual property and ownership

Unless expressly agreed otherwise in writing, PBTS retains all right, title, and interest in and to its pre-existing materials, internal methods, know-how, templates, reusable components, code libraries, frameworks, models, structures, documentation styles, systems, designs, and proprietary processes used in connection with the services.

Subject to full payment of all applicable fees and unless otherwise stated in the relevant agreement, the client may receive ownership of, or a license to use, specific final deliverables prepared specifically for that client. Any such transfer or license shall be limited to the scope expressly set out in writing.

No implied transfer, assignment, waiver, or license shall arise merely because a draft, file, dashboard, report, or portal access has been shared or made available.

10. Client materials and third-party rights

You represent and warrant that any data, content, logos, branding, files, documents, text, images, credentials, software access, or other materials you provide do not infringe the intellectual property, privacy, confidentiality, contractual, or other rights of any person or entity.

You agree to indemnify and hold harmless PBTS against claims, losses, liabilities, damages, costs, and expenses arising out of materials, instructions, data, or content supplied by you or on your behalf where such materials give rise to infringement, privacy, contractual, regulatory, or unlawful-use claims.

11. Confidentiality

PBTS may receive confidential or commercially sensitive information during the course of inquiries, proposals, service delivery, or portal use. Where appropriate, such information will be handled with reasonable care and used only for legitimate business, contractual, support, security, or legal purposes.

Users and clients must also treat non-public information relating to PBTS pricing, methods, proposals, systems, internal documents, credentials, portal structures, and service materials as confidential unless disclosure is authorized in writing or required by law.

12. Privacy and data handling

Use of the website, client portal, and related services may involve the collection and processing of personal data. Such processing is governed by the applicable Privacy Policy together with any contractual data protection terms, operational procedures, and applicable law.

Where PBTS processes personal data on behalf of a client, the client remains responsible for ensuring that an appropriate lawful basis, notice, authority, and instruction exist for such processing unless otherwise agreed.

13. Availability, maintenance, and technical interruptions

PBTS does not guarantee that the website, portal, dashboards, file environments, integrations, or related systems will be available at all times or free from delay, interruption, defect, compatibility issues, data latency, or temporary suspension.

Access may be limited or interrupted for maintenance, updates, security responses, infrastructure issues, third-party outages, legal compliance, emergency action, or circumstances beyond reasonable control. PBTS shall not be liable for loss resulting from such interruptions except to the extent liability cannot lawfully be excluded.

14. Third-party tools and integrations

Services provided by PBTS may involve third-party platforms, hosting providers, analytics services, software tools, communication channels, payment processors, cloud environments, APIs, or integration partners.

PBTS is not responsible for the independent acts, omissions, downtime, policy changes, pricing changes, data practices, or security incidents of such third-party providers, although reasonable effort may be made to select and use suitable tools where appropriate.

15. Disclaimer of warranties

To the fullest extent permitted by law, the website, portal, content, and services are provided on an 'as is' and 'as available' basis without warranties of any kind, whether express, implied, statutory, or otherwise.

Without limiting the foregoing, PBTS disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, continuous availability, accuracy of third-party content, compatibility with all systems, and error-free operation, except where such disclaimers are not permitted by law.

16. Limitation of liability

To the fullest extent permitted by law, PBTS shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary loss, including loss of profits, revenue, business opportunity, goodwill, data, anticipated savings, or business interruption arising out of or in connection with the website, portal, services, deliverables, delays, interruptions, or use of third-party platforms.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

17. Indemnity

You agree to indemnify, defend, and hold harmless PBTS, its affiliates, contractors, service providers, and representatives from and against any claims, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal and administrative costs, arising out of or related to your breach of these Terms, misuse of the website or portal, unlawful conduct, infringement of rights, or materials supplied by you.

18. Suspension and termination

PBTS may suspend or terminate access to the website, portal, or any part of the services, and may pause or terminate an inquiry or active engagement, where there is breach of these Terms, non-payment, non-cooperation, unlawful use, security concern, reputational risk, legal exposure, force majeure, or any operational reason requiring such action.

Termination of access or engagement shall not affect accrued rights, payment obligations, confidentiality duties, intellectual property protections, indemnities, disclaimers, limitations of liability, or any provision which by its nature is intended to survive termination.

19. Governing law and dispute handling

These Terms shall be governed by and interpreted in accordance with the laws applicable to the relevant PBTS operating jurisdiction, unless otherwise stated in a separate written agreement.

Any dispute, claim, or controversy arising out of or in connection with these Terms, the website, portal, or related services should first be raised in good faith through direct written communication with a view to achieving an efficient and practical resolution before escalation where appropriate.

20. Severability and waiver
